Terms of Service

1. Service description

NoteItAll is a cloud-based practice management platform designed for UK allied health practices. It is operated by Neulife Therapy Limited (registered in England and Wales), company number 15205398, registered office 159 Lentons Lane, Aldermans Green, Coventry, CV2 1NZ.

The platform provides tools for managing client records, clinical notes, appointment scheduling, invoicing, and team communication.

2. Acceptance of terms

By registering for or using NoteItAll, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you must not use the service.

3. Eligibility

NoteItAll is intended for use by UK-based allied health practices only. By registering, you confirm that your practice is based in the United Kingdom and that you are authorised to enter into this agreement on behalf of your practice.

4. Subscription and billing

Subscriptions are billed via Stripe on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will auto-renew at the end of each billing period unless cancelled before the renewal date.

You may cancel your subscription at any time through your billing settings or by contacting us at hello@noteitall.io. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by law.

We reserve the right to change pricing with 30 days' advance notice. Continued use of the service after the notice period constitutes acceptance of the new pricing.

5. Clinic responsibilities

As a clinic using NoteItAll, you are responsible for:

• Ensuring that all staff members who access the platform comply with their own data protection obligations under UK GDPR and other applicable law.
• Keeping login credentials secure and not sharing accounts between individuals.
• Ensuring that the data you enter into the platform is accurate and obtained lawfully.
• Promptly notifying us if you become aware of any unauthorised access to your account.

6. Our responsibilities

Neulife Therapy Limited will:

• Take reasonable technical and organisational measures to maintain the security of your data.
• Perform regular backups of platform data.
• Provide reasonable notice of planned maintenance that may affect service availability.
• Process personal data only as described in our Privacy Policy and in accordance with applicable data protection law.

7. Acceptable use

NoteItAll is provided for clinical and administrative use within your allied health practice. You must not:

• Share login credentials between multiple individuals.
• Use the platform for any purpose other than managing your own practice.
• Attempt to access, modify, or delete data belonging to another clinic.
• Use the platform in any way that violates applicable laws or regulations.

8. Data ownership

Your clinic retains full ownership of all client and clinical data entered into NoteItAll. Neulife Therapy Limited processes this data solely on your behalf as a data processor, under a Data Processing Agreement incorporated into these terms.

We will never sell, share, or otherwise use your client data for any purpose other than providing the service to you.

9. Service availability

We aim to maintain 99.5% uptime but do not guarantee uninterrupted availability. The service is provided "as is" and we are not liable for any loss or damage arising from temporary unavailability, provided we have taken reasonable steps to maintain the service.

10. Termination

Either party may terminate this agreement with 30 days' written notice to the other party.

On termination, we will provide you with a full export of your data within 14 days. Following the export, your data will be deleted from our systems within a further 14 days, unless retention is required by law.

We reserve the right to terminate your account immediately where there is evidence of a material breach of these terms, including but not limited to misuse of the platform or failure to pay outstanding invoices.

11. Governing law

These terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
